Welcome to kippie.AI. Please read these Terms of Service ("Terms") carefully before using the website, platform, and automated features located at https://kippie.ai (collectively, the "Service" or "Platform"). The Service is owned and operated by Aeterna LLC, a South Carolina Limited Liability Company ("Company", "we", "us", or "our").
By accessing, registering for, or using the Service, you ("User", "Customer", "you", or "your") agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company, academic institution, research lab, or other legal entity, you represent that you have the authority to bind such entity to these conditions, in which case "User" or "Customer" refers to that entity. If you do not agree to these Terms, you are strictly prohibited from accessing or using the Service.
1. Description of Service and Tech Ecosystem
kippie.AI provides a cloud-based, artificial intelligence-driven credit card reconciliation, document intelligence, and expense matching platform. The Platform uses a modern tech stack, including a Next.js App Router user interface deployed via Vercel, an asynchronous Python FastAPI backend, and administrative data orchestration layers secured via Supabase.
The core utility allows Users to upload corporate financial statements, declare project and account numbers, and upload accompanying receipt images. These inputs are processed programmatically through the Google Gemini API to extract text via optical character recognition, perform semantic visual alignment via vision models, and synthesize matched data elements into a downloadable, consolidated PDF report.
2. AI Output, Modification, and Accuracy Disclaimer
The Service relies on machine learning, predictive heuristics, large language models, and computer vision models provided through third-party neural networks.
AI-generated extraction, matching, classification, and reporting outputs may be incomplete, inaccurate, or require human review. You are responsible for validating all outputs before relying on them for accounting, reimbursement, audit, tax, compliance, or operational decisions.
3. Subscription Tiers, Billing, and South Carolina Sales Tax Compliance
Payments and recurring subscription logistics are managed through our designated merchant infrastructure partner, Stripe. By subscribing to a paid plan, you authorize Stripe to charge your payment method according to the selected terms.
Pro Monthly Tier: billed on a recurring 30-day cycle at $15 per month. Pro Annual Tier: billed as a unified upfront payment of $150 per calendar year. Free Tier: governed by operational usage limits and subject to system resource queuing protocols.
Pursuant to South Carolina Department of Revenue statutory regulations and related guidance, access to vendor-hosted cloud software via an Application Service Provider model may be classified as a taxable communications service. If your billing address resides within South Carolina, Aeterna LLC is required by law to collect sales and use tax. We use Stripe Tax to calculate, assess, and collect applicable state and local taxes.
Custom enterprise subscriptions, corporate arrangements, and academic lab installations are governed by separate, manual, custom-quoted annual agreements. Enterprise accounts may be structured via Stripe invoicing modules and governed by executed purchase orders, which supersede automated payment rules where applicable.
4. Acceptable Use, System Integrity, and Abuse Protocols
Users are granted a non-exclusive, non-transferable, revocable license to access kippie.AI solely for legitimate corporate, professional, and institutional accounting purposes. You agree to abide by the following operational boundaries.
- You shall not upload or transmit receipts, statements, images, or numerical values that are fraudulent, forged, altered, or intentionally deceptive.
- You shall not deploy scrapers, malicious automated scripts, reverse-engineering protocols, or methods intended to bypass API rate limits, background task queues, or messaging broker frameworks.
- You shall not inject, upload, or execute corrupted media files, executable malware, or files containing trojans, worms, or software viruses designed to alter or disrupt the service environment.
5. Limitation of Liability and Indemnification
To the maximum extent permitted by applicable South Carolina and U.S. federal law, Aeterna LLC, its officers, directors, employees, or infrastructure subprocessors shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of business profits, corporate data corruption, tax penalties assessed due to erroneous reconciliation, or operational downtime resulting from dependency failures across Vercel, Supabase, or the Google Gemini API.
You agree to indemnify, defend, and hold harmless Aeterna LLC from and against claims, liabilities, financial losses, regulatory penalties, and legal expenses, including attorney fees, arising from your misuse of the Service, your violation of these Terms, or your submission of inaccurate, non-compliant, or illegal financial source materials to the Platform.
6. Governing Law and Forum Selection
These Terms, along with any transactional disputes arising from the use of kippie.AI, shall be governed by, interpreted under, and enforced in accordance with the laws of the State of South Carolina, without regard to conflict of law principles. Any legal action, litigation, or formal proceeding arising out of or relating to these Terms must be filed exclusively within the state or federal courts located in Richland County or Lexington County, South Carolina, and all parties consent to the personal jurisdiction of such courts.
